Marie Keeley is Of Counsel at Laura Solomon and Associates, where she advises nonprofit and tax-exempt organizations on all aspects of their activities.
Marie has extensive experience with nonprofit tax-exempt organizations, having served as Senior Counsel for Albert Einstein Medical Center, including its nursing home, rehabilitation and physician subsidiaries, for more than twenty years. She provided comprehensive advice on formation, governance and organization, and for corporate transactions such as mergers, acquisitions and joint ventures with similar interest companies and organizations. She also advised on compliance issues such as HIPAA, Medicare/Medicaid billing, state and federal corporate and regulatory requirements, and interacted with regulatory and accreditation agencies. In addition, Marie counseled on employment issues, drafted, reviewed and negotiated contracts with practitioners and vendors, and oversaw lease and public finance arrangements.
Prior to joining L&A and serving as Senior Counsel to Einstein, Marie worked for a boutique law firm that provided regulatory, corporate compliance and transactional advice to practitioners in health care. Marie started as an Associate at Ballard, Spahr, Andrews & Ingersoll in its Public Finance and Business Departments.

Susanna’s professional background includes substantial administrative assistant experience in legal settings. Prior to joining LS&A, Susanna served as Legal Assistant/Office Manager for a Business and Transactional solo practitioner attorney in Bala Cynwyd, Pennsylvania, where she oversaw daily operations and undertook all clerical duties for the firm. Susanna previously worked in the Vice President & General Counsel’s Office at Villanova University and the General Counsel’s and Development Offices at the University of Pennsylvania.
Education and Licenses: Susanna received an Associate’s Degree in General Arts from Villanova University in 2002. She is a Licensed Notary Public for the State of Pennsylvania.
Professional Experience: Sheila Faia is an Administrative Assistant with Laura Solomon & Associates. She joined the firm in June of 2013. Sheila is an integral part of our firm, as she provides support to the firm’s attorneys, to its clients and the general office operations.
Prior to joining Laura Solomon & Associates, Sheila served as an Administrative Assistant for a Patent and Trademark solo practitioner attorney in Bala Cynwyd, Pennsylvania, where she assisted with daily operations and clerical duties of the firm. Sheila has also worked for several years in administrative, event planning, and sales positions with various organizations.

Dana LaRosa is an Administrative Assistant/Paralegal at Laura Solomon & Associates. She provides support to the Firm’s attorneys, staff, and clients.
Dana’s professional background includes extensive administrative and executive assistant experience. Before joining LS&A, she worked in the Regulatory Affairs Department of Main Line Health, where she coordinated protocol submissions, ensured compliance training requirements were being met, maintained Board meeting records, and provided general office administration. Prior to that, Dana worked at Bryn Mawr Trust in its Wealth Management Division, where she coordinated the gifting process for the Custody Department and provided support to clients, the CFO, and other members of the Wealth Management team. She worked on a significant system conversion at Bryn Mawr Trust and was promoted to System Administrator. Dana is a veteran of the United States Air Force where she served as an Airman during Desert Storm.

Dana has an Associate’s degree in Office Management from Bryant & Stratton and will complete her Bachelor’s degree from St. Joseph’s University in the Fall of 2018. She was inducted into Alpha Sigma Lamda Honor Society in May of 2018.

Michele loves working with people and with meaningful organizations that are making a real impact in the communities they serve. She has extensive experience with non-profit, charitable, and other tax-exempt organizations including advising hospitals on compliance issues concerning HIPAA, Medicare/Medicaid fraud and abuse, and reimbursement and billing matters. Prior to joining LS&A, Michele was Of Counsel at a boutique firm representing nonprofits where she advised on general matters including nonprofit formation, bylaws and policy reviews, and healthcare and HIPAA questions. She also served in the legal department at Crozer-Keystone Health System. Early in her career, she practiced health care law with Giordano, Halleran & Ciesla, and Buchanan, Ingersoll, and Rooney PC in New Jersey, where her clients were mainly hospitals and other charitable institutions. As a healthcare attorney, Michele drafted legal documents for hospitals and other charitable institutions and exempt organizations, including policies and procedures in emergency care and general patient quality of care matters, HIPAA confidentiality forms, and practitioner contracts.

Michele is an Executive Board Member of Impact100 Philadelphia, a women's collective giving organization that funds high-impact grants to nonprofits in the Philadelphia area. In addition, Michele has served and held leadership positions on several nonprofit organization boards where she has developed, drafted, and implemented various policies, bylaws, and standards of practice for those organizations.

Ashlee has a decade of experience as a tax attorney advising businesses and tax-exempt entities. She loves supporting charitable organizations in their missions so they can make a meaningful impact in the communities they serve. Her experience working in mental health and non-profit management enlightens her perspective as counsel for such organizations.
Before joining LS&A, Ashlee worked for UMKC Law School’s Tenant Assistance Initiative, where she played a pivotal role in establishing a legal assistance clinic for tenants and represented individuals facing eviction. At a local law firm, Ashlee provided counsel to businesses and tax-exempt organizations on board governance, formation, tax compliance, and successfully resolving tax examinations. Early in her legal career, Ashlee worked with H&R Block on tax law, acquisition due diligence, bank regulation compliance, and employee related matters.

Before joining LS&A, Kate completed externships with the Philadelphia Legal Assistance Low Income Tax Clinic and the City of Philadelphia Law Department, Tax & Revenue Unit and provided representation to individuals via Villanova Law School’s Federal Tax Clinic and Health Law Clinic.
Prior to commencing law school, Kate was a communications professional who worked primarily with nonprofit organizations dedicated to facilitating access to education and healthcare resources. She also served as a school board director and an at-large councilperson in a home rule charter municipality, assisting with comprehensive planning and special projects.

David is Counsel to Laura Solomon & Associates, where he advises nonprofit organizations on formation, obtaining and maintaining tax-exempt status, board governance practices, federal tax law compliance, cause-related marketing and other charitable solicitation issues, unrelated business income, and general operations. David Karasko has more than a decade of experience as a tax attorney, with the past five years focused on tax-exempt organizations. Prior to his focus on tax-exempt organizations, David also advised clients on general corporate tax matters, tax planning for mergers and acquisitions, and the taxation of mutual funds and other pooled investment vehicles.

David is a former member of the Tax Council of the Philadelphia Bar Association and is the former Vice Chair of the PBA Charitable Organizations Committee. Before practicing law, he worked for several years as an economic analyst at a consulting firm in Washington, D.C.

Laura is the founder of Laura Solomon & Associates, a law firm devoted to the representation of nonprofit, charitable, and other tax-exempt organizations. She started her firm after her work as an Associate with Ballard Spahr Andrews & Ingersoll, LLP in its Public Finance and Tax Departments, because of her commitment to providing even the smallest nonprofit groups access to the legal services they need to organize and operate successfully.
Laura acts as outside, general counsel, to over 400 exempt organizations worldwide. She and her associates provide a wide range of legal services, including tax, corporate, mergers, joint ventures, and complex financings. Her clients include public charities and private foundations, museums, hospitals, schools, religious groups, business, environmental, animal welfare, and amateur sports organizations, social clubs, and political action committees, and range from small start-up organizations to large health systems and multi-national charities.

Ms. Solomon currently serves as a United States delegate to the Financial Action Task Force, is a member of the Charity Working Group of the U.S. Treasury Department and the Tax-Exempt Organizations Subcommittee of the American Bar Association, is a member of the Charitable Organizations Committee of the Pennsylvania Bar Association, a Planner of Endowment, Foundation, and Philanthropy Conference of the Philadelphia CFA Society and a Faculty member of the Nonprofit Institute of the Pennsylvania Bar Institute. She is a Wexner Heritage Program Fellow and is quoted frequently in the media and lectures often nationally and internationally for lawyers, accountants, and other professional and community groups on issues impacting the charitable sector and philanthropic individuals. Ms. Solomon also lectures at the LaSalle University Nonprofit Center, the University of Pennsylvania, and Villanova, Drexel, and Temple Universities.
Laura is currently a member of the American Bar Association and the Tax-Exempt Organizations Subcommittee of its Tax Section and the Pennsylvania Bar Association.
